Terms for using the Wotchd app and Wotchd.com

1. About these Terms

These Terms form a contract between you and Beames Media Limited (company number 14797011), trading as Wotchd.com ("Wotchd", "we", "us" or "our"). They apply when you create an account or use the Wotchd app, website and related services (the "Service").

By creating an account, you confirm that you have read and agree to these Terms. Our Privacy Notice explains how we use personal information. Our Community Guidelines form part of these Terms.

2. Who may use Wotchd

You must be at least 18 years old to create or use an account. You must give accurate registration information and must not misrepresent your age or identity. We may suspend or close an account if we reasonably believe this requirement has not been met.

You may use Wotchd only for personal, non-commercial purposes unless we agree otherwise in writing.

3. Your account

• You are responsible for activity carried out through your account and for keeping your password, or your Google or Apple account, secure.
• You must tell us promptly if you believe your account has been accessed without permission.
• You must not create an account for another person without authority, impersonate anyone or create deceptive accounts.
• Your name and profile photograph must comply with the Community Guidelines.
• We may require you to change a name or image that is misleading, unlawful or infringes another person's rights.

4. Connections and privacy

Profiles are visible only to accepted friends, apart from anything you choose to share by link, which anyone with the link can see (the Privacy Notice explains what a shared link shows). You control whom you accept, and you should share recommendations and comments only with people you are comfortable receiving them.

You may invite someone by sharing your invite link from your own device, or by sending a friend request to their email address, which we will email to them on your behalf. Do not send repeated, unwanted or misleading invitations. Wotchd cannot control what a recipient does with a link after you share it.

5. Your content

"Your Content" includes ratings, reviews, lists, recommendations, comments, profile information, photographs and anything else you submit or share through Wotchd. You retain ownership of Your Content.

You give us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, communicate, adapt for technical formatting, moderate and otherwise use Your Content only as reasonably necessary to operate, improve, secure and promote the functionality of the Service. This licence ends when Your Content is deleted from our active systems, except for limited backup, legal and safety retention described in the Privacy Notice.

You confirm that you have the rights needed to submit Your Content and that its use by Wotchd as described in these Terms will not infringe anyone else's rights or break the law.

6. Acceptable use

You must comply with our Community Guidelines. In particular, you must not use Wotchd to:

• post or send illegal, fraudulent, threatening, hateful, harassing, sexually exploitative or otherwise seriously harmful content;
• infringe intellectual-property, privacy, publicity or other rights;
• spam, repeatedly contact someone who does not want contact, or misuse invitations and recommendations;
• upload malware, probe security, scrape the Service, bypass controls, use unauthorised automation or interfere with operation;
• collect information about other members without permission;
• buy, sell, transfer or share accounts; or
• use Wotchd to advertise or conduct commercial activity without our permission.

7. Moderation, reporting and enforcement

You can report content or conduct in the app: open the menu on a review or comment and choose Report. We may review reports and relevant content, restrict visibility, remove content, issue warnings, limit features, suspend or close accounts, preserve evidence, or report matters to authorities where appropriate.

We will act reasonably and proportionately, taking account of the nature, seriousness, frequency and context of the issue. We may act without advance notice where needed to protect people, preserve security, comply with law or prevent evidence being lost.

If we restrict or close your account, you may ask us to review the decision by emailing support@wotchd.com. We do not promise to monitor every item of content or prevent every instance of misuse.

8. Film, programme and streaming information

Wotchd helps people share opinions and organise viewing choices. Ratings and recommendations are personal opinions, not professional advice or endorsements by Wotchd.

Film, programme and streaming-availability information is supplied by Watchmode, The Movie Database (TMDB) and other providers. Availability, prices, catalogues, age classifications and other details can change and may be incomplete or inaccurate. Check the relevant streaming provider before making a decision or incurring a cost.

9. Third-party services and links

Wotchd may link to or interoperate with services operated by others, including Google, Apple, streaming platforms and external websites. Their terms and privacy practices apply to their services. We are not responsible for third-party services that we do not control.

10. Our Service and intellectual property

We and our licensors own the Service, including its software, design, trade marks and content other than Your Content. We grant you a limited, personal, revocable, non-exclusive and non-transferable right to use the Service in accordance with these Terms.

You must not copy, modify, distribute, sell, lease, reverse engineer or create derivative works from the Service except where the law expressly permits it and that permission cannot be excluded.

11. Availability and changes

We aim to provide a useful and reliable Service, but we do not guarantee uninterrupted or error-free availability. We may maintain, change, suspend or discontinue features. Where reasonably possible, we will give notice of a material change that adversely affects members.

12. Closing your account

You may delete your account in the app, from your profile. We may suspend or close it if you materially or repeatedly breach these Terms, create safety or security risks, expose us or others to legal liability, or if we discontinue the Service. Our Privacy Notice explains what happens to information after deletion.

13. Our responsibility to you

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your statutory consumer rights.

Wotchd is provided for personal use. We are responsible for foreseeable loss or damage caused by our breach of these Terms or failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable, for business losses, or for events outside our reasonable control.

We are not responsible for another member's opinion, recommendation or conduct, but this does not affect any duty imposed on us by law, including applicable online-safety duties.

14. Changes to these Terms

We may update these Terms to reflect changes to the Service, law, security or our business. We will give reasonable notice of material changes. If you do not agree, you may stop using Wotchd and delete your account before the change takes effect. Changes will not retrospectively remove rights you already have.

15. General

If a court finds part of these Terms unenforceable, the remaining provisions continue to apply. A delay in enforcing a right is not a waiver. You may not transfer your rights under these Terms without our consent; we may transfer ours where this does not reduce your protections.

These Terms are governed by the law of England and Wales. If you live elsewhere in the UK, you retain any mandatory protections and may bring proceedings in the courts available to you under applicable consumer law.
